Privacy Policy

TERMS AND CONDITIONS

Dealership IDS, Corp.

Effective date: November 18, 2025

  1. Agreement and Scope

These Terms and Conditions ("Terms") govern access to the Dealership IDS company website, requests for information, demonstrations and appointment-related interactions, and participation in the Dealership IDS Appointment Text Messages program. The website is operated by Dealership IDS, Corp., doing business as Dealership IDS ("Dealership IDS," "we," "us," or "our").

Please read these Terms before using the covered features. Where we present an acceptance mechanism, selecting it indicates your agreement to these Terms. Use of a feature after conspicuous notice of the applicable Terms is subject to these Terms to the extent a legally enforceable agreement is formed. If you do not agree, do not use the affected feature; you may contact us to discuss other available ways to communicate.

Accepting these Terms, reviewing our Privacy Policy, entering a phone number, or booking a demonstration does not, by itself, constitute consent to receive text messages. SMS enrollment requires a separate affirmative choice as described in Section 8.

Paid software, advertising, integration, support, and other business services may be governed by an order form, service agreement, statement of work, or other separately accepted agreement. These website Terms do not replace or silently amend those agreements. Where a separate agreement addresses a particular service and conflicts with these Terms, that agreement governs the service to the extent permitted by law. It does not override an individual's SMS opt-out or a consent requirement.

  1. Eligibility and Authority

The covered website features, demonstrations, and appointment SMS program are intended for individuals who are at least 18 years old and have legal capacity to participate. You must provide information that is accurate to the best of your knowledge and use the features for lawful purposes.

If you act for a business, you represent that you have authority to submit information, request meetings, and take the actions you undertake for that business. Participation in a demonstration alone does not authorize you to bind your employer to a paid contract or authorize us to charge it.

For SMS enrollment, you must be the subscriber or authorized user of the mobile number provided and personally make the required affirmative consent choice. Do not submit another person's number as your own, select their checkbox without authority, or create a false record of their agreement. An organization's business relationship with us does not eliminate the individual permissions required for a communication.

  1. Website Access and Permitted Use

We permit you to access the website and use its ordinary features to learn about Dealership IDS, evaluate our services, communicate with us, and arrange legitimate business interactions. You may make reasonable internal reference copies of publicly available materials for those purposes, retaining any proprietary notices.

This permission does not transfer ownership of the website, software, trademarks, documentation, or other materials. Except as expressly authorized, you may not resell or commercially redistribute website content, impersonate our business, bypass access restrictions, or use our materials to imply an endorsement or affiliation that does not exist.

We may maintain, modify, or discontinue website features. Access may occasionally be interrupted by maintenance, technical problems, security measures, or events beyond reasonable control. Commitments concerning availability of a paid service, if any, are governed by the applicable service agreement rather than the public website.

  1. Prohibited Conduct

You must not use the website, scheduling forms, or messaging program to commit fraud, harass others, transmit unlawful material, infringe intellectual property or privacy rights, distribute malicious software, or interfere with systems or other users.

You must not attempt unauthorized account access, probe systems without permission, bypass security controls, submit fabricated appointments, or create excessive or misleading requests. Automated access, scraping, or extraction that disregards access restrictions, privacy rights, or applicable law is not permitted. Authorized integrations require the appropriate agreement and technical permissions.

Do not use our forms to submit sensitive personal information that the form does not request. Do not supply contact lists or third-party information without the necessary rights, and do not misrepresent a person's communication consent.

We may investigate suspected misuse and take proportionate protective action. Where appropriate and lawful, action may include restricting access, removing offending submissions, preserving relevant evidence, or contacting affected parties or authorities. Such action remains subject to our Privacy Policy and applicable law.

  1. Demonstrations, Bookings, and Appointment Information

A request for a demonstration is a request to discuss or evaluate our services. Booking or attending does not, by itself, create a purchase obligation, authorize a recurring charge, or guarantee access to a paid product.

Please provide accurate contact details and review the date, time zone, and meeting instructions in your confirmation. You may use the available booking controls or contact us to request a change or cancellation. Appointment changes remain subject to availability, and we may need to contact you through an authorized channel to coordinate them.

We may use Calendly or another scheduling provider to facilitate booking. That provider's separately applicable terms govern its own service; our Terms govern your covered interactions with Dealership IDS. Agreeing to a scheduling provider's terms is not treated as enrollment in our separate SMS program.

Demonstrations may use illustrative information, example workflows, or test accounts. Actual service capabilities, implementation requirements, pricing, and results depend on the relevant product and agreement. A demonstration does not grant permission to use another customer's confidential or personal information.

  1. Information You Submit and Privacy

You retain any rights you hold in information and materials you submit. You authorize us to process and use those submissions to respond to your request, arrange the requested interaction, provide an agreed service, and perform related administration, subject to our Privacy Policy and applicable agreements.

This authorization is limited to the relevant purposes. It is not an unrestricted license to publish personal information, sell SMS consent, advertise using your identity, or disclose confidential business information for unrelated purposes.

Do not submit material that you have no right to provide. Where another person's information is necessary, ensure you have the appropriate authority and provide any required notice. Customer Data processed through a separately contracted service is subject to the relevant service and data-processing terms.

Our Privacy Policy explains our information practices and choices and is available at https://www.dealershipids.com/privacy-policy.html. Review it before submitting information. Acknowledging the Policy is not blanket permission for promotional communications, recording, or any processing that requires separate consent.

  1. Email, Calls, and Recorded Interactions

We may use appropriate, legally permitted channels to respond to an inquiry, coordinate a requested meeting, administer an existing agreement, or provide support. Promotional communications remain subject to applicable law and your preferences. Instructions for unsubscribing from promotional emails are provided in those communications or can be obtained from us.

You may tell us your preferred contact method. We do not interpret permission for one channel as permission for another. An SMS opt-out remains effective even when you maintain a business relationship with us.

If a call or meeting will be recorded, transcribed, or processed using an automated summarization feature, we provide the required notice and obtain any required permission before doing so. Agreeing to these general Terms, entering a meeting, or selecting appointment texts does not substitute for a separate recording consent where one is required.

  1. Dealership IDS Appointment Text Messages - SMS Terms

8.1 Program Operator and Purpose

The program is operated by Dealership IDS, Corp. under the name Dealership IDS Appointment Text Messages. It covers confirmations, reminders, rescheduling and cancellation updates, and two-way coordination for meetings requested or scheduled with Dealership IDS.

The program does not include promotional broadcasts, general sales nurturing, or independent marketing by dealerships or other businesses. It is not a mechanism for transferring your consent to another sender. A separate promotional program would require appropriate separate disclosures and permission.

8.2 Voluntary Enrollment

Enrollment requires your affirmative selection of a separate, optional SMS checkbox on our booking form. The checkbox is not preselected. The accompanying disclosure identifies Dealership IDS and explains the program purpose, variable frequency, potential charges, and ways to stop messages or obtain help.

By making that separate affirmative choice and submitting the form, you authorize Dealership IDS to send the described appointment texts to the number you provide. Messages may use automated technology and may be delivered through Kixie and supporting telecommunications providers.

SMS consent is not required to book a meeting, buy services, obtain support, or maintain a business relationship with us. You can leave the checkbox unchecked and complete the booking process. Simply supplying a number or agreeing to these general Terms does not enroll you.

8.3 Frequency and Charges

Message frequency varies according to your appointments, scheduling changes, and related communications. Enrollment may result in more than one appointment-related message, including reminders and replies necessary to coordinate the meeting. It does not authorize unrelated ongoing promotions.

Message and data rates may apply. Your mobile provider determines charges under your plan. Dealership IDS does not charge a separate subscription fee for this appointment SMS program. Contact your carrier for questions about its messaging charges or mobile service.

8.4 Opt-Out Instructions

To stop messages, reply STOP to a text from the program. You may also tell us clearly that you no longer want texts by emailing info@dealershipids.com or calling (503) 890-2010. We honor other reasonable methods of revoking permission and do not require a particular explanation or an additional transaction.

We may send a single non-promotional message confirming your opt-out. After that, no further program messages will be sent unless you provide a new valid opt-in. We do not require you to click a link, complete a survey, or speak with a sales representative for a clear STOP request to take effect.

Opting out does not cancel an appointment or terminate a separate service agreement. Necessary appointment coordination may continue through another legally permitted channel consistent with your preferences. A later booking, purchase, or inquiry does not automatically reverse an existing SMS opt-out.

8.5 Assistance

For help, reply HELP to a program message, email info@dealershipids.com, or call (503) 890-2010. Include enough information for us to identify the issue, but do not send passwords, full payment details, identification documents, or other sensitive information by text.

If your device or network prevents a reply from reaching us, use email or telephone. A HELP request does not renew a canceled subscription or authorize promotional texts.

8.6 Number Ownership and Changes

You represent that you are the subscriber or authorized user of the number you enroll. Please update your information if you change or relinquish that number. If you receive a message intended for a previous subscriber, reply STOP or contact us so we can correct the record.

We may pause messaging when we reasonably believe a number is incorrect, reassigned, unauthorized, or associated with an unresolved consent issue. We do not rely on a prior subscriber's consent after learning that the number belongs to someone else. Your obligation to provide accurate information does not waive our responsibility to obtain permission and honor withdrawals.

8.7 Delivery and Availability

SMS delivery depends on network availability, device settings, carrier filtering, and other factors. Messages may be delayed, blocked, or undelivered. Check your booking confirmation and contact us directly when appointment timing is important. The program is not an emergency notification service.

Carriers are not liable for delayed or undelivered messages, to the extent permitted by applicable law. This statement does not waive any right or liability that applicable law does not permit to be waived.

We may change or discontinue the program for operational or legal reasons. Such changes do not authorize additional messaging purposes, override opt-outs, or transfer consent to another business.

8.8 Privacy and Consent Records

We use your mobile number, appointment details, messages, delivery information, and consent records to operate the program, provide assistance, honor preferences, and meet applicable obligations.

We do not sell, rent, or disclose mobile information or SMS opt-in consent to third parties or affiliates for their marketing or promotional purposes. Providers that support program delivery may process necessary information on our behalf, subject to appropriate restrictions. Operational processing does not grant those providers independent marketing permission.

We retain evidence of enrollment and withdrawal as reasonably necessary for authorization checks, compliance, and suppression of unwanted messages. Additional information appears in our Privacy Policy at https://www.dealershipids.com/privacy-policy.html.

  1. Accounts and Authorized Access

Certain services may require credentials or an authorized business account. Keep your credentials confidential, use appropriate access controls, and notify us promptly if you suspect unauthorized access. Do not share access in a way that exceeds the permissions granted under the relevant agreement.

An organization may designate administrators with authority over its business account. Their access to business records is governed by that organization's authorization, applicable agreements, and law. Account administration does not allow an administrator to falsify another individual's SMS consent or prevent that individual from opting out.

Access to paid services, integration credentials, and customer-controlled systems is governed by the relevant service agreement. These public website Terms do not grant access to systems that have not otherwise been authorized.

  1. Pricing and Separate Commercial Agreements

Website information and demonstrations are provided to explain available services. A binding purchase, subscription, advertising budget, or other commercial commitment requires the applicable separately accepted offer or agreement.

That agreement should specify the service scope, fees, payment terms, taxes, duration, any renewal arrangements, and cancellation or refund provisions. We do not create an automatic renewal, waive a refund right, or authorize a payment solely because you schedule a demonstration or subscribe to appointment reminders.

Where public pricing or a service description differs from a current written offer, the terms of the offer govern the proposed transaction when validly accepted, subject to applicable law. Nothing in these Terms permits misleading descriptions or removes rights that cannot lawfully be excluded.

  1. Intellectual Property and Feedback

The website and its original text, branding, software, graphics, and other materials are owned by Dealership IDS or their respective licensors. Rights not expressly granted remain with their owners. Third-party names identify their respective products or services and do not, by themselves, establish an affiliation or endorsement.

You may voluntarily provide suggestions about our website or services. You permit us to consider and implement general suggestions without an obligation to compensate you, provided that doing so does not authorize disclosure of your confidential information, publication of personal information, or use of protected material beyond your rights to grant permission.

We will not treat ordinary feedback as permission to publish an attributed testimonial, use your company logo in advertising, or expand your communication consent. Those uses require an appropriate separate basis or permission.

  1. Third-Party Services

The website may provide links or features supplied by scheduling, meeting, payment, or other providers. Their availability and independent services may be governed by separate terms. You should review relevant notices before submitting information directly to them.

We do not control every feature, policy, or technical decision of an independent provider. However, using a provider does not relieve us of responsibilities that apply to our own conduct, instructions, information practices, or consent obligations.

A third-party provider's general terms do not automatically authorize Dealership IDS to send SMS. Likewise, Dealership IDS's appointment SMS permission does not authorize a third party to contact you for its own marketing.

  1. Information and Availability Disclaimers

We seek to provide useful and accurate information, but public website materials and demonstrations may change and may not address every circumstance. Confirm material details in the applicable written offer or service agreement before making a purchase decision.

Except for express commitments in an applicable agreement and rights that cannot lawfully be excluded, public website access and demonstration materials are provided as available, without a promise of uninterrupted availability, error-free operation, or a particular commercial outcome.

Our materials are not individualized legal, tax, lending, or financial advice. No illustration of a workflow or potential result guarantees revenue, lead volume, conversion performance, financing approval, or another business outcome. Any binding performance commitment must be stated in the relevant agreement.

These statements do not excuse fraud, misleading representations, or failures to meet legal duties.

  1. Liability and Preservation of Rights

To the extent allowed by applicable law, neither party is responsible under these public website Terms for indirect, incidental, or consequential losses arising from use of the free website, demonstration materials, or appointment features, where such a limitation is legally enforceable.

This provision does not exclude or limit liability for fraud, intentional misconduct, gross negligence where it cannot lawfully be limited, or any obligation, statutory remedy, or other liability that applicable law prohibits limiting. It does not waive a person's rights concerning unauthorized communications or personal information.

Liability relating to separately purchased services is governed by the applicable service agreement and law. These Terms do not impose a new monetary liability cap or an indemnity obligation on an individual merely because they book a demonstration or opt into appointment texts.

  1. Suspension and Termination

You may stop using the public website or cancel appointment messages through the methods described above. Ending website use does not, by itself, cancel a separate paid agreement; that agreement's cancellation terms apply.

We may restrict a covered feature when reasonably necessary to address misuse, protect security, resolve an authorization concern, or comply with law. We may also discontinue free website or appointment features. Where appropriate, we will provide notice through a permitted channel.

Suspension, termination, or discontinuation does not reverse an opt-out, expand consent, eliminate applicable privacy rights, or permit us to disregard required records. Provisions that by their nature should continue, including relevant intellectual property, privacy restrictions, dispute provisions, and accrued rights, survive to the extent applicable.

  1. Disputes and Governing Law

If you have a concern, contact info@dealershipids.com or write to the address below and describe the issue and requested resolution. We encourage a good-faith discussion, but contacting us is not a prerequisite to exercising a nonwaivable right, making a regulatory complaint, or seeking urgent relief.

To the extent legally permitted, Oregon law governs these Terms, without applying rules that would displace mandatory protections otherwise applicable to you. A dispute may be brought in a court with jurisdiction; any venue provision in a separate service agreement applies only to the disputes properly covered by that agreement.

These public website Terms do not require mandatory arbitration, waive class-action rights, waive a jury trial, shorten a statutory limitation period, or prevent a complaint to a regulator. Nothing prevents the parties from voluntarily agreeing to mediation or another appropriate resolution method after a dispute arises.

  1. Changes, Interpretation, and Assignment

We may revise these Terms and identify the revision date at the top. We provide additional notice or obtain renewed agreement when required for a material change. Changes apply prospectively and do not retroactively remove accrued rights.

A general revision does not enlarge an existing SMS consent, add promotional texts, or authorize a different sender. Any such change requires the appropriate separate disclosure and permission before the affected messages begin.

If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A delay in exercising a right does not necessarily waive it. These Terms do not create a partnership, employment relationship, or agency relationship between a website visitor and Dealership IDS.

A lawful transfer of a business agreement does not, by itself, transfer an individual's SMS marketing or appointment consent to a new sender. Applicable privacy restrictions and consent requirements continue to govern.
